OKI Printing Solutions provides this website as a service to you. Using this website and the information it contains, means that you accept the terms of use detailed on this page.

This AGREEMENT is made today between Oki Systems (UK) Ltd. of 550 Dundee Road, Slough Trading Estate, Slough, Berkshire, SL1 4LE ("OKI") and you, ("The Partner") relating to the provision of information about OKI products and services for the purpose of selling and supporting OKI Products. 

In return for being provided with or given access to Confidential Information (as defined below), The Partner agrees as follows:

1. In this agreement "Confidential Information" means any information of whatever kind relating to OKI or its Products (whether commercial, technical, financial, operational or otherwise and whether communicated verbally, in writing or in any other form) which is supplied or made available to The Partner at any time (whether before or after the date of this agreement)

2. The Partner shall use the Confidential Information solely for the purpose of selling and supporting OKI Products, shall treat the Confidential Information with the strictest confidence and shall not disclose, reveal, report, publish or transfer to any third party the Confidential Information except:

2.1 to those of The Partner's officers and employees ("Permitted Recipients") that have a need to see and/or use the Confidential Information for the purpose of selling and supporting OKI Products, and provided that The Partner procures that those Permitted Recipients are bound by and comply with all the provisions of this Agreement;

2.2 authorised representatives of OKI; and

2.3 to the extent required by law (and only to that extent).

3. The Partner acknowledges that the Confidential Information is owned exclusively by OKI and is disclosed under conditions of confidence. The Partner agrees that all copyright, trade marks, patents, design rights and all other intellectual property rights (of whatever nature, whether registered or capable of registration or not and including all applications and the right to apply for any such rights) in or forming part of the Confidential Information and/or the Products are owned exclusively by OKI. Nothing in this agreement shall give The Partner any rights of ownership of the Confidential Information. The Partner further agrees that any modification made by The Partner or on The Partner's behalf to the Confidential Information, whether authorised or otherwise, shall be owned exclusively by OKI.

4. The Partner shall be responsible for the safe keeping of the Confidential Information.

5. Immediately following a request from OKI, The Partner shall return, and ensure that any Permitted Recipients return, to OKI immediately all matter provided by OKI in tangible form which constitutes the Confidential Information, or any part of them, together with any copies, and The Partner shall further destroy (or if kept electronically, expunge) and ensure that any Permitted Recipients also destroy (or expunge, as the case may be) any notes, memoranda or other records or working materials (in whatever medium) which contain any Confidential Information.

6. The provisions of paragraphs 2 and 5 of this Agreement shall not apply to any Confidential Information which is, or at the relevant time becomes, publicly available other than as a result of disclosure by The Partner.

7. The Partner shall make copies of OKI's information only to the extent that the same are strictly required for the purposes of selling and supporting OKI Products.

8. This Agreement shall survive termination or expiry for a period of 3 years.

9. This Agreement shall be governed by and construed in all respects in accordance with the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
